Representative Experience

Sandy has a diversified tax, business, estate planning and probate practice. She works with clients on matters involving complex tax-saving wealth transfer strategies including family limited partnerships and limited liability companies, generation skipping trusts, charitable trusts and various other estate freezing and discount valuation strategies. Sandy advises clients related to estate and trust administration and has experience with estate litigation including caveat actions and special proceedings.

In addition, Sandy counsels a number of private, closely held companies and has extensive experience in corporate and business matters. She represents clients regarding corporate business plans, mergers and acquisitions, partnerships and strategic alliances and  corporate reorganizations. She advises clients on the tax and business implications of various business structures including entity formation, ongoing business operations, entity termination and international business and tax planning. 

She also assists franchisors in developing nationwide systems that comply with federal and state franchise and business opportunity regulations. She advises both franchisors and franchisees in matters involving negotiating franchise agreement terms, acquiring or selling existing franchise locations and various other matters.

  • Represents corporations regarding business planning, including structuring and negotiating mergers and acquisitions
  • Represents entities in forming partnerships, corporations, non-profit corporations and limited liability companies
  • Represents business owners in drafting and negotiating shareholder agreements, partnership agreements, joint venture arrangements and employment contracts
  • Counsels franchisors on compliance with federal and state franchise regulations and filing requirements
  • Represents franchisees in multi-distribution locations
  • Represents business owners in international ventures focusing on business and tax planning
  • Represents franchisees in negotiations and operations under the terms of their franchise agreements
